What you need to know

Anthropic's S-1 filing reveals Amazon's convertible notes, with $6.2 billion in principal outstanding as of June 30, are valued at $97.9 billion, making the cloud giant likely the largest financial beneficiary of the IPO. Venture firms hold stakes below the 5% disclosure threshold.

  • Amazon's convertible notes had $6.2 billion in principal outstanding as of June 30, Anthropic's entire debt load
  • Amazon valued its note holdings at $97.9 billion as of June 30 in its own filings
  • Menlo Ventures holds roughly $14 billion, about 1.5% of the company at its $965 billion private valuation
  • Amazon's notes could convert into as many as 1.84 billion shares, subject to a 12% partially diluted cap
  • Anthropic committed to spend at least $110 billion on AWS over 10 years

Amazon's convertibles

Anthropic's S-1 shows Amazon holds convertible notes with $6.2 billion in principal outstanding as of June 30, the company's entire debt load. Amazon's own filings valued the notes at $97.9 billion on the same date, reflecting successive funding rounds at rising valuations.

The notes could convert into as many as 1.84 billion shares, though a cap limits Amazon to 12% of Anthropic's partially diluted share count. Amazon may waive the cap; notes that cannot convert remain outstanding and convert in later quarters. Amazon separately invested $10 billion in nonvoting preferred stock, bringing its total investment to about $18 billion.

VC stakes below 5%

TechCrunch reports that Menlo Ventures, Sequoia, Sound Ventures and Spark Capital are expected to return billions, yet none appears in the S-1's principal stockholders' table because no VC firm owns 5%. At Anthropic's $965 billion private valuation, a 1% stake is worth nearly $10 billion; Menlo's roughly $14 billion position is about 1.5%.

The S-1 also carries a 93-page Risk Factors section spanning over 70,000 words, Ars Technica reports. It flags risks such as models displaying coercive behavior resembling blackmail, unresolved agentic liability, reliance on top-five customers for nearly a quarter of revenue in the first nine months of 2026, and conflicts with cloud providers that build rival models.

How large is Amazon's Anthropic stake relative to venture firms?

Amazon's convertible notes carried $6.2 billion in principal but were valued at $97.9 billion as of June 30, plus $10 billion in preferred stock, while no venture firm holds 5%.
